Terms of Service

Mise Logic Lab (the "Service") is a software-as-a-service platform operated by Mise Logic Lab Inc. ("Mise Logic Lab", "we", "us"), a corporation incorporated under the laws of British Columbia and registered federally in Canada. The Service helps food-service operators manage food-safety routines, workplace health-and-safety compliance, recipes, costs, inventory, purchasing, and sales analytics.

The Compliance Bundle is currently offered in Canada only. You must select a Canadian province during signup so we can apply the correct health-and-safety requirements and regulator references. You must be at least 18 years old to use the Service.

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity under your account.

The Service is offered on a subscription basis. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Fees are billed in advance in Canadian dollars (CAD). Refunds are handled under our Refund Policy (30-day money-back guarantee). You may cancel at any time; cancellation takes effect at the end of the current billing period.

Trial. Eligible referrals may receive a 30-day trial with no credit card. Public signups receive a 14-day trial and must provide a payment method. If you do not cancel before the trial ends, your selected plan begins and you will be charged.

You agree not to: (a) reverse engineer or attempt to extract the source code of the Service; (b) use the Service to build a competing product; (c) interfere with the operation or security of the Service; (d) upload unlawful, infringing, or harmful content; or (e) share your account with unauthorized third parties.

6.1 Our IP. The Service, including its software, design, algorithms, AI prompts, and documentation, is owned by Mise Logic Lab and protected by intellectual property law. No rights are granted except as expressly set out in these Terms.

6.2 Your Content. You retain ownership of the recipes, invoices, sales data, safety records, routine logs, and other content you upload ("Customer Data"). You grant Mise Logic Lab a worldwide, royalty-free license to host, process, and display Customer Data solely to operate and improve the Service for you.

6.3 Feedback. Any suggestions or feedback you provide may be used by Mise Logic Lab without restriction or compensation.

6.4 Aggregated Data. You grant Mise Logic Lab a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use anonymized and aggregated data derived from Customer Data to: (a) train, fine-tune, and evaluate proprietary AI models; (b) produce industry benchmarks, cost indices, market reports, and research; and (c) improve the Service. Aggregated data excludes raw recipes, specific vendor pricing, specific sales totals, safety incident details, and any data that could reasonably be used to identify your business. Aggregated data is not Customer Data.

6.5 AI Processing. The Service uses third-party AI providers (currently Lovable AI Gateway) to process certain Customer Data (e.g., invoice images, recipe photos, SDS sheets). You authorize this processing.

Each party will protect the other's confidential information with the same care it uses for its own, and at minimum a reasonable degree of care.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AI-generated outputs (cost estimates, parsed invoices, recipe suggestions, policy drafts) may contain errors and should be reviewed before relying on them.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MISE LOGIC LAB'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. MISE LOGIC LAB WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

You agree to indemnify and hold harmless Mise Logic Lab from any claim arising out of your Customer Data or your breach of these Terms.

These Terms remain in effect while you use the Service. We may suspend or terminate your account for material breach. Upon termination you may export your Customer Data for 30 days; thereafter we may delete it.

These Terms are governed by the laws of British Columbia and the federal laws of Canada applicable therein. The parties submit to the exclusive jurisdiction of the courts of Victoria, British Columbia.

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
